Agreement

These terms govern the website at palisadelabs.com (the "site"). The site includes subdomains of palisadelabs.com, except any subdomain that requires a login or that operates under its own posted terms or a signed agreement; those are governed by their own terms, not these. The site is owned and operated by Palisade Technologies Group, Inc. ("Palisade"). By accessing the site you accept these terms. If you access it for an organization, you accept them for that organization too, and you represent that you have the authority to bind it. If you do not accept these terms, do not use the site.

The site is not the platform

Palisade's platform is deployed under separate written agreements between Palisade and each customer, including the Palisade Platform Terms. Those agreements, and only those agreements, govern platform deployments. Nothing on this site is part of them, adds to them, or changes them. If anything on this site appears to conflict with a signed agreement, the signed agreement controls and the site text has no effect. Descriptions of the platform on this site describe capability. They are not offers, specifications, or commitments, and they are not a basis for reliance in place of a signed agreement.

What the site collects

The site has no accounts, no forms, no advertising, and no tracking, and it sets no cookies. No analytics or measurement code runs in your browser. The site keeps a few functional values in your browser's local storage; they stay on your device and never reach us. Our hosting and content delivery provider keeps standard server logs. If you email us, we keep the correspondence. The Privacy Statement published on this site is the full and governing description of these items, and if this summary and the Privacy Statement ever differ, the Privacy Statement controls. The Privacy Statement is a notice, not a contract, and nothing in it changes these terms.

Content and license

Palisade owns the site as a whole, including its text, design, structure, and the selection and arrangement of everything on it. Some components are licensed rather than owned, including typefaces, open source libraries, and certain images and footage; they remain the property of their owners. Everything on the site is protected by copyright and other intellectual property law unless marked otherwise. You may view the site, keep the copies your browser makes in ordinary use, print or save pages for your own reference, and link to any page. That, together with the Automated access section below, is the whole license. Any other use of site content requires prior written permission from Palisade or from the component's owner.

Trademarks

Palisade, Palisade Labs, the Palisade mark, and the product names and logos shown on the site are trademarks of Palisade Technologies Group, Inc. or its licensors. These terms grant no rights in them. Do not use them, or anything confusingly close to them, in a product name, company name, domain name, keyword, or metadata, or in any way that suggests affiliation or endorsement.

Acceptable use

Use the site lawfully and leave it as you found it. Do not:

• copy, republish, or redistribute site content beyond the licenses these terms grant
• frame or mirror the site, or present any part of it as your own or as another live version of it
• interfere with the site or its infrastructure, including by imposing unreasonable load
• attempt to bypass any access control, or probe, scan, or test the security of the site outside the good-faith research this section allows
• misrepresent your identity or affiliation in connection with the site
• use the site to violate any law or the rights of any person

Good-faith security research is welcome on the terms our security page states. If you believe you have found a vulnerability, stop at proof, write to security@palisadelabs.com, and give us reasonable time to fix it. Palisade will not pursue research conducted that way.

Automated access

Automated access to the site, including crawling, scraping, and automated fetching, is permitted only to the extent allowed by the site's robots.txt and llms.txt files as published at the time of access. Those files are the entire permission. Today they welcome search engines, AI crawlers, and ordinary automated fetchers. Palisade may change them at any time, and a change takes effect when posted. Automated access must follow the directives in those files, must not degrade the site for others, and must not reach beyond publicly served pages. Where this permission is broader than the visitor license above, this section controls for the access it permits. It is not a license to the Palisade marks, and it is not permission to present copies of the site as the site.

Correspondence and ideas

If you write to us, ordinary email applies. It is not a secure channel, and sending a message creates no confidential relationship. Do not send information you need kept secret. If you send Palisade ideas, suggestions, proposals, or materials we did not request, they are not confidential and earn no compensation. Palisade may use them, in whole or in part, for any purpose, forever, without restriction, payment, or credit. If you do not want an idea used, do not send it.

Third-party links

The site links to third-party sites for reference. Palisade does not control them, does not endorse them, and is not responsible for their content, availability, or practices. Following a link is between you and the destination.

No warranties

The site is provided as is and as available. Palisade makes no warranty of any kind about the site or its content: no express warranty, no implied warranty, and none arising from course of dealing or usage of trade. That includes the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, all of which are disclaimed. Palisade does not warrant that the site will be available, accurate, current, complete, or free of errors or harmful components. Site content is general information. It is not engineering, legal, financial, or professional advice, and it is not an offer capable of acceptance. Some jurisdictions do not allow some of these disclaimers; where that is so, they apply to the fullest extent the law allows.

Limit on liability

This section limits Palisade's liability for the site. Read it. To the fullest extent the law allows, Palisade and its officers, directors, employees, and agents are not liable for any indirect, incidental, special, consequential, or exemplary damages arising from the site or its content, including lost profits, lost data, lost goodwill, and the cost of substitutes, however the claim is framed and even if Palisade was told the damage was possible. For everything else, Palisade's total liability for all claims relating to the site, taken together and on every theory, whether contract, tort, negligence, strict liability, or statute, is capped at one hundred United States dollars. The site is free to use. This allocation of risk is part of why. Nothing in this section excludes or limits any liability that the law does not permit to be excluded or limited.

Indemnification

If a third party brings a claim against Palisade arising from your use of the site in violation of these terms or of the law, or from your infringement of anyone's rights, you will indemnify Palisade. That means you cover the resulting damages, settlements, and reasonable attorneys' fees. Palisade may take control of the defense of any claim you are covering, and you will cooperate with that defense.

Access

Palisade may block or end anyone's access to the site, and may change or retire the site or any part of it, at any time and without notice. When access ends, the licenses above end with it. The following sections survive any end of access: The site is not the platform; Content and license; Trademarks; Correspondence and ideas; No warranties; Limit on liability; Indemnification; Sanctions and export law; Governing law and venue; and General.

Sanctions and export law

The site is controlled from the United States. Do not access or use it where doing so is prohibited by United States sanctions or export control law, and do not provide content from the site to any person or destination when that transfer would be prohibited. You are responsible for your own compliance.

Governing law and venue

New York law governs these terms and any dispute connected to the site, without regard to its conflict of law rules. The state and federal courts sitting in New York County, New York have exclusive jurisdiction over any such dispute. You consent to that jurisdiction and venue and waive any objection to either, including any objection that the forum is inconvenient. Each of us waives trial by jury in any such dispute.

General

These terms are the entire agreement between you and Palisade about use of the site. They leave every other agreement untouched, including any platform agreement. The Privacy Statement describes the site's data practices as a notice and is not part of this contract. If Palisade does not enforce a provision, it has not waived it and may enforce it later. If a court finds part of these terms unenforceable, that part is narrowed to its enforceable core and the rest stands unchanged. You may not assign these terms, and any attempted assignment is void. Palisade may assign them to an affiliate or to a successor. These terms create no rights in anyone else, except that the people covered by the Limit on liability section may enforce it.

Changes

Palisade may revise these terms at any time. A revision takes effect when it is posted on this page, and the effective date above is updated when that happens. Using the site after a revision is posted is acceptance of the revision.
